By using the Washgas.com site
("Site") you signify your agreement to all terms, conditions and
notices contained or referenced here in the Terms and Conditions of Use. (the
"Terms of Use"). If you do not agree to these Terms of Use, please do
not use this Site. Although you may "bookmark" a particular portion of
this Site and thereby bypass this Agreement, your use of this Site binds you to
the terms. We reserve the right at our discretion, to update or revise these
Terms of Use. Please check the Terms periodically for changes. Your continued
use of this Site following the posting of any changes to the Terms of Use
constitutes your acceptance of these changes.

Washington Gas Rules of User Conduct, including but not limited to, agreeing not

Rights
You acknowledge and agree that
all content and materials available on this Site are protected by copyrights,
trademarks, service marks, patents, trade secrets, or other proprietary rights
and laws. Except as expressly authorized by Washington Gas, you agree not to
sell, license, rent, modify, distribute, copy, reproduce, transmit, publicly
display, publicly perform, publish, adapt, edit, or create derivative works from
such materials or content. Notwithstanding the above, you may print or download
one copy of the materials or content on this Site on any single computer for
your personal, non commercial use, provided you keep intact all copyright and
other proprietary notices. Systematic retrieval of data or other content from
this Site to create or compile, directly or indirectly, a collection,
compilation, database or directory without written permission from Washington
Gas is prohibited. In addition, use of the content or materials for any purpose
not expressly permitted in these Terms of Use is prohibited.
As noted above, reproduction,
copying, or redistribution for commercial purposes of any materials or design
elements on this Site is strictly prohibited without the express written
permission of Washington Gas. Permission is granted only when certain limited
criteria are met. For information on requesting such permission, please send an
Email to: Webmaster@washgas.com with the words "Washington Gas Permission
Request" in the subject line, and include the following information in the
body of the message.
- The Washington Gas content
you wish to use.
- Where and how such content
will be used (for example in a manual, a presentation).
- Where and how copies will be
produced and distributed
- When you intend to publish
the content.
- Other non-Washington Gas
materials that will be associated with the Washington Gas content.
- Your name, title, company,
address, email address, and telephone number.
In addition, please provide an
example or mockup of the intended use, by sending a file attached to your
email (in a format readable with a PC). We will need all of the above in order
to evaluate your request. Washington Gas reserves the right to refuse permission
to copy distribute, broadcast, or publish any of its copyrighted material.

shall be and remain the property of Washington Gas. Such disclosure, submission
or offer of any Comments shall constitute an assignment to Washington Gas of all
worldwide rights, titles and interests in all copyright and other intellectual
properties in the Comments. Thus, Washington Gas will own exclusively all such
rights, titles, and interests shall not be limited in any way in its use,
commercial or otherwise, of any Comments. Washington Gas is and shall be under
no obligation (1) to maintain any comments in confidence; (2) to pay to user any
compensation for any Comments; or (3) to respond to any user Comments.
You agree that no Comments
submitted by you to this Site will violate any right of any third party,
including copyright, trademark, privacy or other personal or proprietary right(s).

Laws
This Site is controlled by
Washington Gas from its office in the Commonwealth of Virginia, in the United
States. This Site can be accessed from all 50 states as well as from other
countries around the world. However, by accessing this Site, you expressly agree
that the exclusive jurisdiction for any claim or action arising out of relating
to these Terms of Use or your use of this Site shall be filed only in the state
or federal courts located in the Commonwealth of Virginia, and you further agree
and submit to the exercise of personal jurisdiction of such courts for the
purpose of litigating any such claim or action. These Terms of Use shall be
governed by and construed in accordance with the laws of the Commonwealth of
Virginia, excluding its conflict of rules laws.
Washington Gas makes no
representation that materials on this website are appropriate or available for
use in other locations, and accessing them from territories where their contents
may be illegal is prohibited. Those who choose to access this Site from other
locations do so on their own initiative and are responsible for compliance with
the local laws.

The Washington Gas employment
site may be used only for lawful purposes by individuals seeking employment. As one of the conditions of your using the section
of the Site, you represent, warrant and agree that you will not use (or plan,

Documentation that you do not have the right to reproduce, display or
transmit under any law or under contractual or fiduciary relationships (such
as nondisclosure agreements).
- Use the Site's communication
features in a manner that adversely affects the availability of the Site's
resources to other users, (e.g. excessive shouting, use of all caps or
flooding of continuous posting of repetitive text).
- Post or transmit any
unsolicited advertising, promotional materials, junk mail, spam chain
letters, pyramid schemes or any other form of solicitation or any non-resume
information such as opinions or notices, commercial or otherwise.
- Post any inaccurate, false
or incomplete resume information or any resume information which is not your own accurate resume.
- Respond to any employment

Indemnification
Upon request by Washington Gas,
you agree to defend, indemnify and hold harmless Washington Gas and its
subsidiaries and other affiliated companies and their employees, contractors
officers and directors from all liabilities, claims and expenses including
attorney fees, that arise from your use or misuse of this Site. Washington Gas
reserves the right, at its own expense, to assume the exclusive defense and
control of any matter otherwise subject to indemnification by you, in which
event you will cooperate with Washington Gas in asserting any available
defenses.

Security
Your are prohibited from
violating or attempting to violate the security of the Washgas.com, Site
including but not limited to, (1) accessing data not intended for you, or
logging in to a server or account which you are not allowed to access; (2)
attempting to probe, scan or test the vulnerability of a system or network or to
breach security or authentication measures; (3) attempting to interfere with
service to any user, host or network, including but not limited to, by means of
overloading, "flooding", "mail bombing", or crashing; or (4)
sending unsolicited Email, including Email, including promotions or
advertising of products or services, or (5) forging any TCP/IP packet header or
any part of the header information in any Email or newsgroup posting.
Violations of the Site security
may result in civil or criminal penalties. Washington Gas will investigate
occurrences that may involve such violations, and cooperate with law enforcement
authorities in prosecuting users who are involved in such violations.

Severability
and Integration
Unless otherwise specified
herein, this agreement constitutes the entire agreement between you and
Washington Gas with respect to this Site and supersedes all prior or
contemporaneous communications and proposals, (whether written or electronic)
between you and Washington Gas with respect to this Site. If any part of these
Terms of Use is held invalid or unenforceable that portion shall be construed in
a manner consistent with applicable law to reflect, as nearly as possible, the
original intention of the parties, and the remaining portions shall remain in
full force and effect.
